Keith Jackson and his related interests have provided the attached substantial product holder (SPH) notice.

As explained in the SPH notice, Keith Jackson, Patricia Frances Jackson and Phillip Mack Picot as trustees of the Nikau Trust (Nikau Trust) continue to have a relevant interest in 11,859,049 quoted shares out of the 56,949,955 quoted shares on issue (SOI). The SOI were recently increased by placements of additional shares to third parties, consequently reducing the Nikau Trust substantial product holding to 20.824%.

As a consequence of a share cancellation on 23 June 2023, Keith Jackson and his related interests have relied, and continue to rely, on clause 5 of the Takeovers Code (Class Exemptions) Notice (No 2) 2001 to maintain the SPH above the 20% threshold in the Takeovers Code, subject to the conditions of that exemption.

In addition to the 11,859,049 quoted ordinary shares in CCC held by Nikau Trust, Nikau Trust also hold and control 1,207,000 non-voting unlisted shares (which may in the future, by written notice, be reclassified as quoted ordinary shares).
